(1) If the articles of association do not make provision concerning the amount of the share capital or the company’s object, or if the provisions set out in the articles of association concerning the company’s object are null and void, each shareholder, each director and, if a supervisory board has been appointed, each member of the supervisory board may apply, by way of legal action, for the company to be declared null and void.
(2) The provisions of sections 246 to 248 of the Stock Corporation Act apply accordingly.
